EGN Golf Terms and Conditions for Business Customers

1. Acceptance of Terms By placing an order with EGN Golf ("Seller"), the business customer ("Buyer") agrees to be bound by the following terms and conditions. These terms and conditions ("Agreement") shall govern the sale of goods and services provided by Seller to Buyer. Any additional or different terms proposed by Buyer are hereby rejected unless expressly agreed to in writing by Seller.
2. Orders All orders are subject to acceptance by Seller. Orders must specify the type and quantity of products, the desired delivery date, and any other special instructions. Seller reserves the right to refuse any order for any reason.
3. Prices Prices for goods and services are those specified on the Seller's website or in a written quotation provided by Seller. Prices are subject to change without notice. Prices do not include taxes, shipping, or handling fees, unless otherwise specified. Buyer is responsible for all applicable taxes, duties, and charges.
4. Payment Terms Payment terms are cash on order, unless otherwise agreed in writing. All orders for products which require customisation to the Buyer’s specification must also be paid for on order. Payment must be made in the currency specified on the invoice. Late payments will incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
5. Delivery Delivery dates are estimates only. Seller will use reasonable efforts to meet specified delivery dates but will not be liable for any delays. Risk of loss or damage passes to Buyer upon delivery of goods to the carrier. Buyer must inspect goods upon receipt and notify Seller of any discrepancies or defects within 7 days.
6. Title Title to goods passes to Buyer upon receipt of full payment by Seller.
7. Returns and Cancellations Goods may not be returned without Seller's prior written consent. Unauthorised returns will not be accepted. Customised or personalised orders cannot be cancelled or returned unless defective. For authorised returns, Buyer may be subject to a restocking fee.
8. Warranty Seller warrants that goods will conform to the specifications and will be free from defects in material and workmanship for a period of 90 days from the date of delivery. This warranty does not cover defects caused by misuse, improper storage, or alterations. Seller's sole obligation under this warranty is to repair or replace defective goods.

9. Limitation of Liability To the fullest extent permitted by law, Seller's liability for any claim arising out of or relating to this Agreement will not exceed the purchase price of the goods or services giving rise to the claim. In no event will Seller be liable for any indirect, incidental, special, or consequential damages.
10. Indemnification Buyer agrees to indemnify, defend, and hold harmless Seller from and against any and all claims, liabilities, damages, losses, and expenses arising out of or related to Buyer's use or resale of the goods.
11. Governing Law This Agreement will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the courts located in England and Wales.
12. Force Majeure Seller will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or governmental actions.
13. Confidentiality Buyer agrees to keep confidential all non-public information disclosed by Seller, including pricing, product specifications, and business operations.
14. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
15. Amendments Seller may amend these terms and conditions at any time by posting the amended terms on its website. Buyer's continued orders after the effective date of any amendments will constitute Buyer's acceptance of the amended terms.
